Acceptance of Terms

These Terms of Service ("Terms") govern your access to and use of the ClickOff platform, including all guides, tools, and services available at clickoff.io (the "Platform"), operated by Phion Systems, LLC ("we," "us," "our").

By accessing or using the Platform, you confirm that you are at least 18 years of age and that you agree to be bound by these Terms and our Privacy Policy. If you do not agree to these Terms, do not use the Platform.

What ClickOff Provides

ClickOff provides two core services:

• Cancellation Guides — Step-by-step instructions and GUIDEON real-time guided assistance to help users cancel subscription services. Guides are provided for informational purposes based on publicly available cancellation procedures.
• Discovery Platform — Curated alternative subscription recommendations presented following cancellation, enabling users to evaluate and subscribe to services that may better serve their needs.

The Platform is provided free of charge. No account is required to access cancellation guides. Optional email submission features are available for receipts and newsletter communications.

ClickOff is an independent publisher. We are not affiliated with, endorsed by, or in partnership with any subscription service featured on the Platform. Our guides are based on publicly available information and user research. Subscription service interfaces, pricing, and cancellation processes may change without notice.

Authorised Agency Framework

ClickOff operates as a technology-assisted authorised agent framework under applicable consumer protection legislation, including California SB 362 (the Delete Act, operative 2026) and GDPR Article 17. In this capacity:

• ClickOff acts on behalf of users to facilitate the exercise of their consumer rights, including cancellation of subscriptions and requests for deletion of personal data from third-party services.
• By using GUIDEON to initiate a cancellation or data deletion request, you authorise ClickOff to assist in executing that request as your designated agent for the purposes of that specific transaction.
• You represent that you are the authorised account holder for any subscription you seek to cancel through the Platform, or that you have been duly authorised by the account holder to act on their behalf.
• ClickOff does not access, store, or transmit your subscription login credentials. All cancellation actions are performed by you directly on the vendor's platform, with GUIDEON providing real-time guidance only.

The authorised agency relationship is limited to the specific cancellation or data deletion action initiated in a given session. It does not create an ongoing agency relationship beyond the scope of that action.

Affiliate Disclosure and Commercial Relationships

ClickOff earns revenue through affiliate commissions. When you click a Subscribe or alternative service link on the Platform and subsequently subscribe to that service, ClickOff may receive a commission from that service provider.

• Affiliate commissions do not affect the independence of our cancellation guides. We provide guides for all featured subscription services regardless of affiliate status.
• Alternative service recommendations are made on the basis of genuine consumer value. Commission rates are not the primary basis for recommendation rankings.
• Affiliate tracking is managed through our affiliate network partner. Clicking affiliate links may result in a cookie being set on your device for referral attribution purposes.
• ClickOff is not responsible for the terms, pricing, quality, or availability of any third-party subscription service recommended on the Platform.

Intellectual Property Rights

All content, design, code, trademarks, service marks, logos, and intellectual property on the Platform are owned by or licensed to Phion Systems, LLC. This includes but is not limited to:

• The ClickOff name, logo, and brand identity.
• The GUIDEON and GUIDEON names, interfaces, and methodologies.
• The Phion Systems name, φ symbol usage, and "Harmony Restored" mark.
• All cancellation guide content, alternative recommendation frameworks, and platform copy.
• The underlying technology stack, algorithms, and process architectures.

You may not reproduce, distribute, modify, create derivative works of, publicly display, or commercially exploit any content from the Platform without our prior written consent. Personal, non-commercial use of guide content for your own cancellation purposes is permitted.

Third-party subscription service names, logos, and trademarks referenced on the Platform are the property of their respective owners and are used for identification purposes only. Their inclusion does not imply affiliation or endorsement.

Acceptable Use

You agree not to use the Platform to:

• Cancel subscriptions you do not own or are not authorised to cancel.
• Attempt to circumvent, reverse engineer, or interfere with the Platform's technical systems.
• Scrape, harvest, or systematically extract Platform content for commercial purposes without written authorisation.
• Transmit malicious code, spam, or any content that interferes with the Platform's operation.
• Misrepresent your identity or authorisation status when using GUIDEON.
• Use the Platform for any unlawful purpose or in violation of any applicable regulation.

We reserve the right to restrict or terminate access to the Platform for any user who violates these Terms.

Disclaimers and Limitations

No guarantee of outcome. While ClickOff guides are based on current, verified cancellation procedures, subscription services may change their processes without notice. We cannot guarantee that following a guide will result in successful cancellation. Users should verify cancellation confirmation through the vendor's official communication channels.

Not professional advice. Nothing on the Platform constitutes legal, financial, or professional advice. The authorised agency framework described herein is a technology assistance service, not a legal representation relationship.

Third-party services. ClickOff is not responsible for the actions, policies, charges, or conduct of any third-party subscription service. Cancellation confirmation, refunds, and billing disputes must be resolved directly with the vendor.

Platform availability. We strive for continuous availability but do not guarantee uninterrupted access to the Platform. We reserve the right to modify, suspend, or discontinue any part of the Platform at any time.

THE PLATFORM IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW.

Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, PHION SYSTEMS, LLC SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES ARISING FROM YOUR USE OF THE PLATFORM, INCLUDING BUT NOT LIMITED TO FAILED CANCELLATION ATTEMPTS, CONTINUED BILLING BY THIRD-PARTY SERVICES, OR LOSS OF DATA.

Our total liability to you for any claim arising from your use of the Platform shall not exceed the greater of USD $100 or the amount you have paid to us in the twelve months preceding the claim (which, given the Platform is free, will typically be zero).

Some jurisdictions do not allow the exclusion of certain warranties or the limitation of liability. In such jurisdictions, our liability is limited to the greatest extent permitted by law.

Governing Law and Disputes

These Terms are governed by and construed in accordance with the laws of the State of California, United States, without regard to its conflict of law provisions.

Any dispute arising from these Terms or your use of the Platform shall first be addressed through good-faith negotiation. If unresolved, disputes shall be submitted to binding arbitration under the rules of the American Arbitration Association, conducted in California. Class action and jury trial rights are waived to the extent permitted by law.

Nothing in this clause prevents you from exercising your statutory consumer rights under applicable law, including rights under CCPA, SB 362, or GDPR.

Changes to These Terms

We may update these Terms from time to time. Material changes will be communicated to email subscribers and reflected in the "Last updated" date above. Continued use of the Platform following any update constitutes your acceptance of the revised Terms.
